BY USING CELLS FOR CHARITIES'S WEB SITES, YOU SIGNIFY THAT YOU AGREE TO THE FOLLOWING TERMS AND CONDITIONS.

About These Terms. These terms govern any offer that you make to sell, donate or recycle your Product to or through Cells For Charities. These terms are located at http://www.cellsforcharities.com/conditions.php and any supplemental terms or policies that accompany a specific transaction, feature or application collectively make up an agreement between you and Cells For Charities (the "Agreement"). You acknowlege that this electronic agreement carrier the same force as a writen agreement.

TRANSACTION ACCEPTANCE POLICY:

Cells For Charities will pay full value if the handset(s) sent are in acceptable condition as outlined below. The shipment or sale to Cells For Charities of your handset(s) confirms your acceptance of our price and condition offer.

CONDITION OF HANDSET(S):

All handsets must be in working order to qualify for payment. They must power-up and make a test call. They will not be crushed, water damaged or have broken LCD's. Cases should be complete and unbroken. All original manufacturer parts, including antennas, must be present on the handset. All handset(s) shall have a valid ESN or IMEI number and a working battery. The handset must not have an active account with any wireless service provider. All features of the handset, including but not limited to cameras, microphones, and speakers, must function. Cosmetic factors affecting the resale value of the phone, such as but not limited to significant wear or scratching of the handset, or pieces that are glued to the phone, may affect Cells For Charities's purchase price of the phone. Any handset(s) sent in other than those listed on the initial transaction will not be returned and will become the property of Cells For Charities. These units will be recycled or donated to our 911 phone program. Please verify the accuracy of your transaction before submitting for approval. Handsets that have service with Sprint, Verizon, or Nextel must be deactivated. Handsets must not be reported lost or stolen. Cells For Charities DOES NOT BUY HANDSETS THAT HAVE SERVICE WITH METRO PCS, CRICKET WIRELESS, ALLTEL, AMPD MOBILE, VIRGIN MOBILE, QWEST COMMUNICATIONS, TRACFONE, NTELOS, MIDWEST WIRELESS, BLUEGRASS,SIMPLE FREEDOM, SMART TALK, CELLCOM,CBEYOND, BOOST UNLIMITED, CREDO, CELLULAR SOUTH, UNICEL, ELEMENT, COMMON CENTS, ANY PREPAID CELLULAR SERVICE, OR ANY CELLULAR COMPANY THAT NO LONGER OFFERS SERVICE. Handsets that have an account with Sprint, Verizon, Nextel, US Cellular, Cellular One, or any other CDMA provider must be deactivated, able to be activated by someone else, and have no remaining outstanding balance on the account. Handset(s) sent to Cells For Charities not accompanied by an order slip identifying the order number of the handset(s) automatically become property of Cells For Charities. FITNESS FOR SALE.

You must own the right, title, and interest in any and all Products you seek to sell, donate or recycle to Cells For Charities. The Products and the sale and shipment of such items to Cells For Charities: (a) must comply with all applicable laws, statutes, ordinances, including without limitation all import and export laws as described in the section below concering import and export laws, (b) may not infringe on third party intellectual property rights (including copyrights, trademarks, patents, trade secrets or other proprietary rights), and (c) shall not be counterfeit, stolen, or fraudulent. You represent and warrant that the Products are free of any liens or encumbrances, including third-party software which may not be transferred or for which royalties are due. By using the Cells For Charities Services, you agree to indemnify Cells For Charities from all claims or losses sustained by Cells For Charities as a result of any breach of this warranty.

PROBLEMS WITH ORDER:

If the handset returned is not the handset listed on the original transaction and the phone is listed in our database on the day of receipt of the phone, Cells For Charities will pay the price in our database on that day for the actual phone received. If the phone is not listed in our database, if the handset is damaged, if the handset is broken, or if the handset has significant cosmetic problems affecting its resale value, Cells For Charities will make an adjusted trade offer to the user via email. For handsets that function correctly and are in good cosmetic condition, Cells For Charities will pay the full listed price for the handset. Cells For Charities may make an offer for 75, 50, 25, or 0 percent of the original value of the handset based on the handset's condition and its resale value. Phones that are extremely worn, even if functional, will not be paid for. The offer will be sent via email to the email address provided by the user at the time the order is placed. If the adjusted offer is not acceptable, Cells For Charities will return the shipment at a cost of $10 per phone. Phone will be held a maximum of 30 days from date of adjusted offer. If the adjusted offer is accepted the adjusted payment will be made based on the date of receipt of the handset. Cells For Charities will not be responsible for user delays. User must respond, via email, to support@cellsforcharities.com to any adjusted trade offer within two business days or Cells For Charities will assume the adjusted offer is acceptable and process the shipment using the adjusted offer. Cells For Charities cannot guarantee that the exact phone will be returned to the user, only that a phone of the same model. After 90 days from the original submission of an order Cells For Charities will consider the order void.

CELL PHONE SERVICE:

It is the user's responsibility to discontinue service on handsets sold to Cells For Charities before shipping the phone. Cells For Charities is not responsible for previous or subsequent airtime charges accrued prior, during, or after any transaction. Should any airtime charges be accrued, it is the responsibility of the original user and service provider to resolve payment issues.

SHIPMENT OF PHONES:

Cells For Charities is not responsible for phones that are lost or damaged in transit. If the user wishes, it is the user's responsibility to insure the phone or provide delivery confirmation when the user ships the handset to Cells For Charities. If a phone is not able to be located, it is the user's responsibility to provide the ESN or IMEI number of the phone so that it can be located. All ESN or IMEI numbers of phones that are sent to Cells For Charities are recorded.

SUBSCRIBER INFORMATION:

If desired, it is the responsibility of the user to remove any and all personal information from all phone memory and removable memory including but not limited to, phonebook entries, personal codes, e-mail addresses, personal addresses, IM addresses, photos, and downloaded files. Any personal information including but not limited to the aforementioned data could be used in a negative manner and it is the sole responsibility of the user to clear all information that could be harmful to the user if made public.

PAYMENT:

In most cases, payment will be sent approximately 45 days after it is deemed that the phone will be paid for. If there is a dispute in condition users will be notified by e-mail with an adjusted offer. If the adjusted offer is not acceptable, Cells For Charities will return the shipment at the users expense. If the adjusted offer is accepted the adjusted payment will be made based on the date of the original trade. Cells For Charities will not be responsible for user delays. User must respond to any adjusted trade offer within two business days or Cells For Charities will assume the adjusted offer is acceptable and process the shipment using the adjusted offer. If payment for phones has to be reissued due to an incorrect or outdated address, there will be a $20 check reissue fee. Payment for handsets that have service with Verizon, Sprint, or any other CDMA carrier may be delayed up to 60 days or more in order to verify that they are not stolen or still activated.

LEGAL COMPLIANCE:

Cells For Charities does not accept phones from minors. You must be 18 years of age or older to utilize our service. Cells For Charities does not accept stolen or lost phones. It is the responsibility of the user to make sure that the phone is not reported lost or stolen, and any legal issues resulting from such phones are solely the responsibility of the user.

DATA REMOVAL

For Products that have any kind of data storage, you must back up your data before sending us your item. Cells For Charitiesmakes every effor to remove all personal data from your Products, however, Cells For Charities does not guarantee that it will do so. By sending Cells For Charities your Product, you agree to release us from any claim as to the Product, the data stored in such Product, or any information on any media used in conjunction with the Product and which you send to Cells For Charities, or for such data's security, integrity, confidentiality, disclosure or use. Cells For Charities is not responsible for any loss suffered due to loss of data or the use of data that was not erased by the user prior to sending the Products to Cells For Charities

RELEASING RIGHTS TO DATA AND PRODUCT.

Once you send Cells For Charities your Product, Cells For Charities does not guarantee that it will be able to return any data stored within the product or return the actual product.

LOSS RISK.

You are responsible for all risk of loss, from packaging, transit, and receipt, until Cells For Charities receives the Product and it is scanned into our system.

TITLE OF PRODUCT

Title to the applicable Product passes to Cells For Charities upon Cells For Charities’s acceptance of the Product. If the Product is returned, title shall pass back to you.

IMPORT AND EXPORT LAWS

You agree to comply fully with all import and export laws, regulations, rules and orders of the United States, or any foreign government agency or authority, and that you will not directly or indirectly transfer your Product without proper authorization from the U.S. and/or foreign government. You bear responsibility for and assume all expenses relating to your compliance with the described laws, regulations, rules and orders, and for obtaining all necessary authorizations and clearances in order to convey your Product to Cells For Charities, including without limitation, valuation, classification and duties applicable with the import of any goods.

PRICING:

All pricing is subject to change without notice. Cells For Charities reserves the right to void any transaction and return the phone to the user.

CHARITIES LISTED ON SITE:

Cells For Charities is not affiliated with any of the charities named on the site. Cells For Charities will donate to the charity selected by the user during checkout. If no charity is selected, then Cells For Charities will send the user the payment for the Products listed in the transaction.
